POLITIKA PRIMITAKA U KREDITNIM INSTITUCIJAMA U EUROPSKOM I HRVATSKOM PRAVU. (Croatian)

The European Commission adopted a Recommendation on remuneration policies in the financial services' sector in 2009 as a response to the financial crisis in the period of 2008 to 2009. The Recommendation was applicable to all financial institutions. The listed financial institutions were subject to the previous Recommendations on the remuneration policy of listed companies adopted in 2004, 2005 and 2009. Different practices of EU Member States in the implementation of non-binding recommendations in national jurisdictions not only lead to incompatibility, but also endangered the goals of the European Commission. To eliminate this situation the European Parliament and the Council adopted the Capital Requirements Directive (hereinafter: CRD III) in 2010 which regulates the remuneration policy in credit institutions and investment firms. Likewise, the Committee of the European Banking Supervisors adopted Guidelines on Remuneration Policies and Practices in 2010 to facilitate implementation of CRD III. CRD III promotes harmonization of national jurisdictions of EU Member States in design, execution and supervision of the remuneration policy in credit institutions and investment firms. The Croatian Government proposed a revision of the Credit Institutions Act at the end of 2012, with the view of harmonizing its provisions with CRD III provisions on the remuneration policy in credit institutions. The Croatian National Bank drafted the Decision on the remuneration of staff which regulates the remuneration policy in credit institutions in detail. [ABSTRACT FROM AUTHOR]
Die Europäische Kommission hat als Antwort zur finanziellen Krise von 2008 bis 2009 die Empfehlung zur Vergütungspolitik im Finanzdienstleistungssektor im Jahr 2009 erlassen. Die Empfehlung sollte an alle Finanzinstitute angewendet werden. Die früheren Empfehlungen der Europäischen Kommission zur Regelung der Vergütung von Mitgliedern der Unternehmensleistung börsennotierter Gesellschaften aus 2004, 2005 und 2009 wurden an registrierte Finanzinstitute angewendet. Unterschiedliche Praxis der Mitgliedsstaaten bei der Implementierung von nicht bindenden Empfehlungen in nationalen Rechtsregelungen hat zur Inkongruenz geführt und die Erreichung der von der Europäischen Kommission gesetzten Ziele gefährdet. Deshalb haben das Europäische Parlament und der Europäische Rat die Eigenkapitalrichtlinie (CRD III) erlassen, welche die Vergütungspolitik in Kreditinstitutionen und Investitionsgesellschaften besonders reguliert hat. Die Europäische Bankenaufsichtsbehörde (CEBS) hat im selben Jahr die Leitlinien über Vergütungspolitik und --praxis im Finanzsektor erlassen, damit die Anwendung der Richtlinienbestimmungen erleichtert wird. Auf diese Art und Weise will man die Kongruenz nationaler Rechtsregelungen der EU Mitgliedsstaaten bei der Erstellung, Durchführung und Aufsicht der Vergütungspolitik in Kreditinstitutionen und Investitionsgesellschaften sichern. In der Republik Kroatien hat die Regierung der Republik Kroatien Ende 2012 Vorschlag zum Gesetz über Änderungen und Ergänzungen des Gesetzes über Kreditinstitutionen mit dem Ziel seiner Kongruenz mit Bestimmungen über Vergütungspolitk der Eigenkapitalrichtlinie (CRD III) entworfen. Die Kroatische Nationalbank hat den Entscheidungsentwurf über Vergütungen von Angestellten, eine untergesetzliche Vorschrift, welche die Vergütungspolitik in Kreditinstitutionen detailliert regelt, erlassen. Europska komisija je kao odgovor na financijsku krizu u razdoblju od 2008. do 2009. godine donijela Preporuku o politici nagrađivanja u sektoru financijskih usluga iz 2009. godine. Preporuka se trebala primjenjivati na sve financijske institucije. Na uvrštene financijske institucije su se primjenjivale i ranije Preporuke Europske komisije o politici primitaka u uvrštenim dioničkim društvima iz 2004., 2005. i 2009. godine. Različita praksa država članica u implementaciji neobvezujućih preporuka u nacionalnim pravnim porecima dovela je do neusklađenosti te je ugrozila postizanje ciljeva koje je postavila Europska komisija. Stoga su 2010. godine Europski parlament i Vijeće donijeli Direktivu o kapitalnim zahtjevima III koja je posebno uredila politiku primitaka u kreditnim institucijama i investicijskim društvima. Odbor europskih bankovnih nadzornika (CEBS) iste je godine izdao Smjernice o politici i praksi primitaka u financijskom sektoru, kako bi olakšao primjenu odredbi iz Direktive. Na taj se način želi osigurati usklađenost nacionalnih pravnih poredaka država članica Europske unije u kreiranju, provedbi i nadzoru politike primitaka u kreditnim institucijama i investicijskim društvima. U Republici Hrvatskoj je Vlada RH krajem 2012. godine izradila prijedlog Zakona o izmjenama i dopunama Zakona o kreditnim institucijama, radi njegovog usklađivanja s odredbama o politici primitaka Direktive o kapitalnim zahtjevima III. Hrvatska narodna banka izradila je i nacrt Odluke o primicima radnika, podzakonski akt koji detaljnije uređuje politiku primitaka u kreditnim institucijama. [ABSTRACT FROM AUTHOR]
La Commissione europea come risposta alla crisi finanziaria nel periodo tra il 2008 ed il 2009 ha emanato la Raccomandazione sulla politica di gratificazione nel settore dei servizi finanziari del 2009. La Raccomandazione va applicata a tutti gli istituti finanziari. Già in precedenza in alcuni casi vanivano applicate in alcune società di capitali le Raccomandazioni della Commissione europea sulla politica remunerativa del 2004, 2005 e 2009. La differente prassi negli Stati membri circa l'attuazione delle raccomandazioni non vincolanti nell'ordinamento interno ha condotto ad una difformità di disciplina e ha pregiudicato il raggiungimento degli scopi prefissati dalla Commissione europea. Pertanto nel 2010 il Parlamento europeo ed il Consiglio hanno emanato la Direttiva sui requisiti patrimoniali (c.d. CDR III), che ha regolato nel dettaglio la politica remunerativa negli istituti di credito e nelle società di investimento. Il Comitato delle autorità europee di vigilanza bancaria (CEBS) nel corso dello stesso anno ha emanato delle indicazioni circa la politica e la prassi remunerativa nel settore finanziario, al fine di semplificare l'applicazione delle disposizioni della Direttiva. In questo modo si vuole assicurare l'uniformità dei sistemi giuridici nazionali per la creazione, l'applicazione e la vigilanza delle politiche remunerative negli istituti di credito e nelle società di investimenti. In Croazia il Governo sul finire dell'anno 2012 ha presentato la proposta della legge sulle modifiche ed integrazioni della legge sugli istituti di credito al fine di uniformare la normativa interna con le disposizioni delle direttiva CDR III. La Banca di Croazia ha altresì redatto una proposta circa la decisione sulle remunerazioni dei lavoratori; atto normativo che regola nel dettaglio la politica remunerativa negli istituti di credito.
